Audit Committee: The Kitchen Sink of the Board.

Nov 2022

Most of the findings and reporting for anyone on a board is self-evident, but this is incredibly useful to confirm others are struggling with the increasing breadth and depth of responsibility and risk in committees.
The most relevant observation is a repeat of who polices the police ideal or  Who decides Who decides?  Given the range of risks now resting with the AC, who is responsible for
Takeaway
The report suggests that until investors ask for better oversight of the AC, we are in danger of concentrating too many significant risks into a decreasing resource that catastrophic disaster is only a matter of time.
What is your view - are we heading to a precipice?

It's time for neurodiverse boards

Oct 22

from John Harte of Integrity Governance

It's time for neurodiverse boards ..... however the process is utterly biased against neuro-diverse

Can boards really achieve this?

Can data lead to better humanity? #esg #leadership #thinkingNews Title

Should we wish for future generations also to enjoy the small blue planet, a wealth or value calculation based on time will not shift the current economic model.  This post offers a view. "Perhaps we should stop asking leadership to decide everything based on data or value and instead demand they care for our natural world if it was their only job!"

How would you react if your bouns were aligned only with the survival of your grandchildren?

If one number decides your fate, what should you know about that number?

July 2022

Random numbers make lottery winners; select those to be called up for war and support modern-day digital encryption. We have a strange relationship with numbers and fate, especially when we realise that nothing is quite as random as we think.

However, in financially supported decision-making, one number has an unfair advantage in the balance of probabilities.

This viewpoint is about who should calculate and control discount rates in a modern digital business; the #CFO or the #CDO?

Where should the board's moral compass point? What conduct is appropriate, and how should the board's actions be assessed?

  • What moral standard should directors be held accountable to (if any)?

  • What might morally-accountable governance look like, in practice?

The best and most effective boards are those who focus their attention on providing steerage and guidance, in pursuit of agreed goals. As with sailing and other team-based endeavours, decisions matter. Heterodox perspectives, high-level sense-making, systems thinking, and consensus-building are vitally important. Without these, boards run the risk of introspection, relying instead on heuristics and natural biases or, worse, ideological preferences.

What stance should companies take in times of war? This FT article provides a case that sanctions pressure companies to decide what to do. This viewpoint will unpack that this is nothing compared to what will happen if sanctions are the new weapon of war.

Perhaps as we plan and action this transition, we should also be asking how we create and deliver better #governance and #oversight for companies. WHY? Because those with power will be companies and not sovereign states, it will be non-elected individuals.  The incentives and rewards have changed, but that does not mean they are aligned to better outcomes for us all.   What do you think?

#LarryFink 's annual letter to CEOs has become a much-anticipated event.  From a document of interest to niche interest groups searching for clarity, the 'Blackrock letter' is now seen by many as a critical guidance statement from the world's largest investor. As directors, we need to discuss these and other questions.

Is your board well-equipped to lead in an event that threatens the company’s prosperity or viability? And what is the likelihood it will oversee an appropriate response?
